Terms of Service

1. Scope

These Terms of Service govern all work, offers and deliveries of Indiecatr LLC, Fort Lauderdale, Florida (“we”, “us”), unless a separate written agreement says otherwise. Deviating terms of a client apply only if we have agreed to them in writing.

2. Contract partner

Indiecatr LLC

Fort Lauderdale, FL 33309, United States of America
Email: mail@indiecatr.org

3. Offers and contract formation

Quotes and proposals are non-binding and valid for 30 days unless stated differently. A contract comes into effect when the client accepts a quote in writing or when we begin work at the client’s request. Changes to the agreed scope are handled through a written change request, including any effect on price and schedule.

4. Services and scope of work

We design, develop, integrate and operate software and applications as described in the respective quote. The concrete scope, milestones and deliverables follow the written description of work. We are free in the choice of tools, technologies and subcontractors, and we aim to deliver maintainable, documented code.

5. Cooperation by the client

The client provides the information, content, credentials and decisions we reasonably need on time, and keeps a competent contact person available. Delays caused by missing input extend agreed deadlines accordingly.

6. Prices and payment

Prices are quoted per project or per hour and are stated exclusive of any applicable sales or use tax, which the client bears where legally due. Invoices are payable within 14 days of receipt. For larger projects we typically invoice an advance of 30 to 50 percent, with the remainder on delivery or in monthly instalments by effort.

7. Delivery and acceptance

Deliverables are considered accepted when the client confirms them, when the client puts them into productive use, or when the client does not raise material defects in writing within 14 working days after delivery. Material defects are remedied at no additional charge; minor deviations that do not materially affect usability do not block acceptance.

8. Cancellation and termination

Either party may terminate a continuing engagement for good cause at any time. Otherwise, a fixed-term engagement ends with the agreed completion of the work, and a monthly engagement with 30 days’ written notice to the end of a calendar month. On termination, work performed and expenses incurred up to that date become payable.

9. Intellectual property

On full payment we assign the usage rights to the deliverables created specifically for the client. We remain free to use our own general know-how, methods, libraries and pre-existing components, and we may list the project and our name in a reference list unless the client asks us not to. Third-party and open-source components remain subject to their own licences.

10. Confidentiality

Both parties treat the other’s business, technical and commercial information received during the cooperation as confidential and use it only for the purpose of the project. This obligation continues for three years after the end of the engagement and does not apply to information that is public, independently developed or lawfully disclosed.

11. Warranty and liability

We are responsible for defects in our deliverables under the applicable statutory rules. Our liability for damages — including for breach of contractual duties — is limited to foreseeable, typical damage and is capped at the amount of the fees paid for the affected work. This limitation does not apply to intent or gross negligence, to personal injury, to guarantees, or to claims under mandatory product liability law.

12. Data protection and security

Where we process personal data on behalf of a client, the parties conclude a data processing agreement meeting the requirements of the applicable law, including Art. 28 GDPR where the client is subject to it. Details are described in our Privacy Policy.

13. Force majeure

If performance is prevented by events beyond our reasonable control — such as natural disasters, strikes, supply failures, war, government measures or widespread outages of utilities or network infrastructure — deadlines are extended by the duration of the impediment.

14. Assignment and subcontracting

We may involve qualified subcontractors and remain responsible for their work. The client may assign its rights under the agreement only with our prior written consent.

15. Final provisions

This agreement is governed by the laws of the State of Florida, United States, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. Exclusive place of jurisdiction for disputes arising from this agreement is Fort Lauderdale, Florida, unless mandatory law provides otherwise. If individual provisions of these Terms are or become invalid, the validity of the remaining provisions is not affected. The parties will replace an invalid provision by a valid one that comes closest to its intended purpose.
